A Law project

My
research will explore the role of shareholders of public limited companies in
keeping the management accountable in the UK, Germany and USA. This will be
achieved by looking at the theoretical and practical effectiveness of the
corporate governance rules related to managerial accountability while having
regard to outside factors that might affect shareholder behaviour. The aim of
this research is to assess whether the rules concerning managerial
accountability allow active shareholder participation and whether shareholders
have the necessary incentives to exercise them by using the existing legal
frameworks. In addition, I will make a comparative analysis to examine the
differences and similarities of each legal framework in approaching managerial
accountability by shareholders and I will elaborate how the rules can be
enhanced by providing suggestions that will make the role of shareholders more
dynamic in the corporation’s management. By making this comparison, I expect to
illustrate an optimal legal basis that several countries across Europe and the
European Union through its Regulations may adopt to promote the exercising of
shareholder rights within public limited companies, since these three
frameworks are influential when corporate governance rules are considered.

What is your motivation for doing a PhD?

My main motivation is to become an excellent academic in company law either in my country, Cyprus, or in the UK. In addition, I want to contribute to the academic corporate law area by providing my ideas and thoughts about corporate governance law

Why did you choose your research topic/title

I have the belief that my research will contribute towards making a clear observation of the exact role of shareholders within corporate governance and will significantly aid EU company law regulation and several other countries that are influenced by these three systems towards making measures that will facilitate this end.

What difference will this research make in your life and the lives of others?

I believe that my research will play a significant role towards contributing to the legal research concerning corporate governance issues. By upholding the argument that shareholders need to be active by exercising their accountability powers, I wish that my research will aid towards endorsing this view within the academic circle, which is very influential in legal drafters and politicians who wish to enact rules that advance the role of shareholders within the corporation and to create a commercial framework that works for achieving maximum efficiency in corporate transactions and dealings.
